A. Annual estimated range of distribution” means a preliminary minimum and maximum forecasted Tribal distributions report including financial assumptions prepared by gaming executive management for a specific fiscal year and approved by the Gaming Enterprise Board.

B. Board of Directors” means the oversight body of the Osage Nation Gaming Enterprise.

C. Gaming-related activities” means any asset, property, or facility owned or operated in whole or in part by the Enterprise to develop or enhance gaming or is related to the business or activities of a gaming facility.

D. National Indian Gaming Commission” means the federal agency charged by the Indian Gaming Regulatory Act with regulatory oversight of Indian gaming.

E. Net revenues” means the total revenues of the Enterprise (including all gaming and gaming-related activities), minus all operating expenses and interest and principal payments made on debt service.

F. Operating expenses” means salaries, wages, cost of maintenance and operation, materials, supplies, insurance, and all other items normally included under recognized accounting practices but does not include allowances for depreciation in the value of physical property.

G. Osage Nation” means the government of the Osage people, formerly known as the Osage Tribe of Indians of Oklahoma.

H. Osage Nation Gaming Commission” means an independent regulatory agency of the Osage Nation, established by law and charged with primary regulatory authority over all forms of gaming within the territory and jurisdiction of the Osage Nation, and the responsibility to administer, implement, and enforce the Osage Nation Gaming Law and compliance with the Nation’s gaming compact with the State of Oklahoma, and to civilly sanction violations of the Gaming Law and its regulations.

I. Osage Nation Gaming Enterprise” means the Osage Nation government entity, also referred to as the “ONGE” or “Enterprise,” responsible for operating Osage Nation gaming and gaming-related business in accordance with the provisions of this Act and governed by a Board of Directors appointed by the Principal Chief of the Osage Nation with the advice and consent of the Osage Nation Congress.

J. Osage Nation Congress” means the legislative body of the Osage Nation established pursuant to Article VI of the Constitution of the Osage Nation, ratified by a vote of the Osage People on March 11, 2006, and certified by the Osage Government Reform Commission on May 6, 2006.

K. Osage Tribal Council” means the former governing body of the Osage Tribe of Indians of Oklahoma established by the Act of June 28, 1906.

L. Osage Tribe Gaming Enterprise” means the predecessor in interest to the Osage Nation Gaming Enterprise, which was established pursuant to Osage Tribal Council Resolution No. 31-864 (August 25, 2004) and Osage Tribal Council Resolution No. 31-1683 (June 7, 2006), as subsequently amended by the Osage Nation Congress pursuant to ONCA 07-07, and later amended by ONCA 07-30 as amended which shall be superseded in entirety upon final adoption of the act codified in this chapter.

M. Qualified professional” means a person possessing a minimum of three of the following qualifications:

1. A Bachelor’s degree in Business Administration, Accounting, Marketing, or an equivalent field;

2. A minimum of five years of experience in business management;

3. A minimum of five years of experience in casino operations management;

4. A minimum of five years of experience in hospitality industry management;

5. A demonstrable working knowledge of federal Indian law, the Indian Gaming Regulatory Act, and related statutes and regulations; or

6. A demonstrable working knowledge of gaming management, business, finance or law. ONCA 14-79, eff. Sept. 26, 2014; ONCA 23-73, eff. July 11, 2023.
