Subpart 2 SPECIAL FORMATION REQUIREMENTS FOR LLCS WHOLLY OWNED BY THE OSAGE NATION

A. Unless a delayed effective date is specified the existence of an LLC directly owned by the Nation begins:

1. When the articles of organization and articles of operation have been approved by resolution enacted by the Legislature, and the articles have been filed with the Secretary of the Osage Nation; or

2. When the Legislature designates, by a duly adopted resolution, a subsidiary LLC to an LLC wholly owned by the Nation, and the articles of organization and articles of operation are amended by the Board of Directors to reflect the change of ownership.

B. The existence of an Osage Nation subsidiary LLC owned by a parent LLC that is wholly owned by the Nation begins when the articles of organization have been approved by a resolution of the Directors of the parent LLC, and the articles have been filed with the Secretary of the Osage Nation.

C. The articles of operation of an LLC in which the Nation is the sole member, and any amendments thereto, shall be filed with the Secretary of the Osage Nation, and shall state at a minimum the items set forth in Section 2-922 of this Title.
