If authorized by the articles of incorporation or bylaws, the Board of Directors may appoint one or more advisory boards or committees to advise and assist the Board of Directors with the development of corporate strategies, policies, and programs, and the management and operation of the corporation and its programs and activities. Any advisory board or committee shall act in an advisory capacity only, and shall not have any power or authority to take any action on behalf of the corporation except as specifically authorized by the Board of Directors.
